Terms of service.

The commitments that apply to every engagement with your agency. A signed service agreement or NDA takes priority over this page if they differ.

1. Who we are

White Label SEO LATAM is operated by Juan José Giraldo, an independent SEO professional based in Medellín, Colombia ("I", "me"). "You" or "the agency" means the business that hires the services. Contact: [email protected], +57 314 832 3559.

2. Services and scope

I provide SEO, AEO/GEO, content, keyword research, consulting and web development services on a white-label basis. The scope of each engagement is defined in the plan, proposal or statement of work you approve. Work outside that scope is quoted separately before it starts.

3. Confidentiality

  • A mutual non-disclosure agreement (NDA) is signed before any access or client information is shared.
  • I keep confidential your clients' identities, data, results, pricing and processes, and use them only to deliver the agreed services.
  • Confidentiality obligations continue for three (3) years after the engagement ends.

4. White-label delivery

  • All deliverables and reports are provided under your brand. I do not add my name, logo or links to any client deliverable.
  • I do not contact your clients unless you ask me to, and only as part of your team.
  • I will not list your agency or your clients in my portfolio, case studies or marketing without your written permission.

5. Non-solicitation

During the engagement and for twelve (12) months after it ends, I will not solicit, offer services to or accept work from any client you introduced to me, directly or indirectly, even if the client makes the first contact. You agree not to hire me directly for your clients through another channel to avoid these terms.

6. Ownership of work

All deliverables created for your clients (reports, content, code, audits and data) become your property once the related invoice is paid in full. I keep ownership of my pre-existing tools, templates, scripts and know-how, and grant you a perpetual license to use anything of mine embedded in the deliverables.

7. Access and data security

  • I only request the access each task requires, protect accounts with two-factor authentication and never share credentials with third parties.
  • Client data is processed only on your instructions and to deliver the services. See the privacy policy.
  • All my access is removed, and any credentials returned, on the last day of the engagement.

8. Quality and compliance

All work follows Google Search Essentials. I do not use private blog networks, paid link schemes, fake reviews, cloaking or other manipulative tactics. AI-assisted content is always reviewed and edited by a human before delivery. If a deliverable does not meet the agreed standard, I will correct it at no extra cost.

9. No guaranteed rankings

Search engines control rankings and change their systems often. I commit to the agreed work, a sound process and transparent reporting, but I do not guarantee specific positions, traffic or revenue.

10. Fees and payment

  • All prices are in US dollars (USD) and exclude taxes that may apply in your country.
  • Monthly plans are invoiced in advance on the first business day of each month and are due within seven (7) days.
  • One-time projects are invoiced 50% before work starts and 50% on delivery. Hourly work is invoiced with weekly time logs.
  • Accepted payment methods: international wire transfer, Global66 and PayPal.
  • Each party covers its own bank fees. PayPal fees are added to invoices paid through PayPal.
  • If an invoice is more than ten (10) days overdue, work may be paused until payment is received, with prior notice.
  • Delivered work is not refundable.

11. Term, cancellation and pauses

  • Plans are month to month. There is no minimum term.
  • Either party may cancel with one month (30 days) of written notice sent by email. No cancellation fee applies.
  • The notice month is invoiced and the work is delivered as usual.
  • A client plan can be paused with the same one month notice.
  • Either party may end the engagement immediately if the other seriously breaches these terms, including non-payment beyond 30 days or a breach of confidentiality.
  • On termination, I deliver a handover with files, reports and pending tasks, and all access is removed.

12. Independent contractor

I work as an independent contractor, not as your employee. I am responsible for my own taxes, equipment and social security obligations in Colombia.

13. Limitation of liability

To the extent permitted by law, my total liability for any claim related to the services is limited to the fees you paid in the three (3) months before the claim. I am not liable for indirect losses such as lost profits, or for changes made by search engines, third-party platforms or your client.

14. Governing law

These terms are governed by the laws of the Republic of Colombia. Before any formal claim, both parties agree to try to resolve disputes in good faith for at least 30 days.

15. Changes

I may update these terms. Changes are announced by email at least 30 days before they apply to an active engagement.
